Terms of Service
Please read these Terms of Service carefully before engaging Brief Studio for any services. By booking a call, signing a proposal, or engaging A+B Creative Marketing Inc. ("Brief Studio," "we," "our," or "us") in any capacity, you agree to be bound by these terms.
1. Services
Brief Studio provides legal marketing services including, but not limited to, website design and development, branding, messaging and positioning, search engine optimization (SEO), content strategy and writing, and digital marketing. The specific scope of services for each engagement is defined in a written proposal or statement of work agreed upon by both parties prior to commencement.
2. Engagement & Payment
2.1 Ignition Fee
All new engagements require a one-time, non-refundable Ignition Fee to initiate discovery, reserve your project timeline, and begin scoping. This fee is applied as a credit toward your project balance upon launch.
2.2 Project Fees
Project fees are outlined in your proposal and are due according to the payment schedule specified therein. Standard payment terms are 50% upon project commencement and 50% upon project completion, unless otherwise agreed in writing.
2.3 Retainer Fees
Monthly retainer fees are billed in advance on the first of each month. Retainer services commence following the completion of an initial project engagement. Retainer agreements may be canceled with a 30-day written notice.
2.4 Late Payments
Invoices not paid within 30 days of the due date may be subject to a late fee of 1.5% per month on the outstanding balance. Brief Studio reserves the right to pause or suspend services on accounts with outstanding balances.
3. Client Responsibilities
To enable Brief Studio to deliver services effectively, clients agree to:
Participate in a discovery call or intake process as requested
Provide timely feedback and approvals on delivered work
Supply any required materials, credentials, or access in a timely manner
Designate a single point of contact for project communications
Delays caused by client inaction or late feedback may result in revised timelines and are not the responsibility of Brief Studio.
4. Intellectual Property
4.1 Client Ownership
Upon receipt of full payment, all deliverables created specifically for the client — including website designs, written copy, and brand assets — become the client's property.
4.2 Brief Studio IP
Brief Studio retains ownership of all proprietary tools, methodologies, frameworks, and processes used in delivering services. Nothing in these terms transfers ownership of Brief Studio's intellectual property to the client.
4.3 Portfolio Rights
Brief Studio may reference the engagement as a client relationship in credentials and business development contexts. We will not display, reproduce, or publish specific client deliverables, brand assets, or performance data without prior written consent from the client.
5. Confidentiality
Both parties agree to keep confidential any non-public information shared in connection with the engagement. This includes business strategies, client data, pricing, and proprietary materials. Confidentiality obligations survive the termination of any engagement.
6. Representations & Warranties
Brief Studio warrants that services will be performed in a professional manner consistent with industry standards. We do not warrant specific outcomes, rankings, lead volumes, or revenue results, as these are influenced by factors outside our control, including search engine algorithm changes, market conditions, and client responsiveness.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Brief Studio's total liability for any claim arising out of or relating to these terms or any engagement shall not exceed the total fees paid by the client in the three months preceding the claim. In no event shall Brief Studio be liable for indirect, incidental, special, or consequential damages.
8. Termination
Either party may terminate a project engagement with 30 days’ written notice. Upon termination, the client is responsible for fees corresponding to work completed through the termination date. Monthly retainer agreements may be canceled with a 30-day written notice. The Ignition Fee is non-refundable under all circumstances.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any disputes arising under these terms shall be subject to the exclusive jurisdiction of the courts located in New York.
10. Changes to These Terms
Brief Studio reserves the right to update these Terms of Service at any time. Updated terms will be posted at briefstudio.agency and will take effect upon posting. Continued engagement with Brief Studio following any update constitutes acceptance of the revised terms.
